We make audio plug-in software for music production, delivered as digital downloads. A free, fully functional trial is available before purchase. Your use of the software itself is governed by the End User License Agreement, which you accept when you install or use the software. These Terms govern your use of the website and the purchase relationship.
Purchases are processed by our payment provider, who acts as the merchant of record and handles billing, payment, and applicable taxes. Prices are listed in US dollars unless stated otherwise. You agree to provide accurate purchase and account information, and you agree to the payment provider’s terms and any acknowledgments presented at checkout. We may change prices, promotional offers, and product availability at any time without liability to you.

Except for the limited license to use the software granted in the End User License Agreement, nothing in these Terms gives you any right to copy, reproduce, distribute, modify, or create derivative works from our property.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMANENCE AUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR AUDIO RECORDINGS, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Remanence Audio, LLC and its affiliates from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the website or software, or your violation of any law or the rights of a third party.
These Terms apply while you use the site. We may suspend or terminate your access at any time, without notice, if we believe you have violated these Terms. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive.
If any provision of these Terms is held to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
These Terms, together with the End User License Agreement, the Refund Policy, and the Privacy Policy, make up the entire agreement between you and Remanence Audio regarding the website and our software, and supersede any prior understandings.
These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules, and any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Lucas County, Ohio. This does not deprive consumers of any mandatory protections provided by the law of the country in which they reside; where such protections apply, they remain in force alongside these Terms.
We may update these Terms from time to time. When we do, we will revise the date at the top of this page. Your continued use of the site after changes take effect means you accept the updated Terms.
